CreateWorker Terms of Service

These Terms of Service ("Terms") govern access to and use of the CreateWorker platform and related services (the "Service"), provided by CreateWorker B.V. ("CreateWorker", "we", "us", or "our").
The Service is offered exclusively to business customers. By accessing or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Definitions
- "Organization" means the legal entity that enters into these Terms.
- "User" means an individual authorized by an Organization to access the Service.
- "AI Worker" means a configurable AI-powered workflow or agent created and controlled by an Organization.
- "Task" means any instruction, request, or workflow submitted to an AI Worker.
- "Proposal" means AI-generated output produced in response to a Task prior to execution.
- "Execution" means an action taken by the Service or an integration following authorization.
- "Customer Data" means all data submitted to, stored in, or processed through the Service by or on behalf of an Organization.
2. Scope and Nature of the Service
CreateWorker provides a workflow orchestration and oversight platform that enables Organizations to configure AI Workers to assist with operational tasks under defined rules, permissions, and approval flows.
The Service is designed such that:
- AI outputs are non-binding proposals
- Human review and approval are required by default
- All actions are logged, attributable, and auditable
- Autonomy levels are configured and controlled solely by the Organization
CreateWorker does not provide professional advice and does not make decisions on behalf of Organizations or their customers.
3. Account Registration and Organization Control
3.1 Organization Accounts
Each Organization is responsible for:
- Maintaining accurate account and contact information
- Managing Users and access credentials
- Ensuring that only authorized individuals access the Service
3.2 User Roles and Permissions
Role-based access controls are provided for convenience and security. The Organization is solely responsible for:
- Assigning and reviewing User roles and permissions
- Monitoring User activity
- Revoking access when appropriate
CreateWorker is not responsible for unauthorized access resulting from the Organization's failure to manage credentials or permissions.
4. AI Functionality, Oversight, and Risk Allocation
4.1 AI Outputs
AI Workers generate Proposals based on the Tasks, rules, and data provided by the Organization. AI outputs:
- May be inaccurate, incomplete, misleading, or inappropriate
- Are probabilistic in nature
- Do not constitute legal, financial, medical, or other regulated advice
4.2 Human Approval and Autonomy
AI Workers operate in a proposal-only or approval-required mode unless the Organization explicitly configures otherwise.
Any configuration enabling automated execution is performed at the Organization's sole discretion and risk. The Organization remains fully responsible for:
- Reviewing AI Proposals
- Approving or rejecting actions
- Determining appropriate autonomy levels
- All outcomes resulting from approved or automated executions
4.3 No Agency or Authority
AI Workers do not act as agents of CreateWorker or the Organization and have no authority to bind any party or make legally effective decisions.
5. Customer Responsibilities
The Organization is solely responsible for:
- All Tasks submitted to the Service
- All Proposals reviewed, approved, or executed
- All business, legal, and operational decisions made using the Service
- Compliance with applicable laws, regulations, and internal policies
CreateWorker does not evaluate the legality, suitability, or correctness of Tasks, Proposals, or Executions unless required by law.
6. Email and Third-Party Integrations
6.1 Email Processing
The Service supports email ingestion and sending through integrations such as Gmail, IMAP, SMTP, and similar technologies.
By enabling these integrations, the Organization authorizes CreateWorker to access and process email content solely for the purpose of providing the Service, including generating Proposals, executing approved actions, and maintaining audit logs.
Credentials and access tokens are encrypted at rest and not disclosed to end users.
6.2 Responsibility for Communications
The Organization is solely responsible for:
- The content, timing, and recipients of all communications
- Compliance with privacy, marketing, employment, and anti-spam laws
- Obtaining any required consents
CreateWorker does not independently initiate or control communications.
7. Data Protection and Privacy
CreateWorker processes personal data in accordance with its Privacy Policy and, where applicable, a Data Processing Agreement (DPA).
For Customer Data:
- The Organization acts as the data controller
- CreateWorker acts as the data processor
- Customer Data is processed only to provide and improve the Service
No Customer Data is used to train proprietary AI models unless expressly agreed in writing.
8. Intellectual Property
8.1 CreateWorker Intellectual Property
CreateWorker retains all rights, title, and interest in the Service, including software, workflows, documentation, and underlying technology.
8.2 Customer Data and Outputs
The Organization retains ownership of its Customer Data and AI-generated outputs, subject to applicable law and third-party rights.
The Organization grants CreateWorker a limited, non-exclusive right to process Customer Data solely to provide and maintain the Service.
9. Fees and Payment
Use of the Service is subject to payment of applicable subscription fees and usage-based charges.
- Fees are invoiced in advance unless otherwise stated
- Usage may be deducted from a credits balance
- All fees are exclusive of taxes
Failure to pay may result in suspension or termination of access.
10. Availability and Modifications
CreateWorker does not guarantee uninterrupted or error-free operation.
We may modify, update, or discontinue parts of the Service at any time, provided that such changes do not materially reduce core functionality without notice.
11. Warranties and Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
CreateWorker makes no warranties regarding:
- Accuracy or reliability of AI outputs
- Fitness for a particular purpose
- Compliance of AI-generated content with applicable laws
The Service is not intended for use in safety-critical or high-risk environments.
12. Limitation of Liability
To the maximum extent permitted by law:
- CreateWorker's total liability shall not exceed the fees paid by the Organization in the 12 months preceding the event giving rise to the claim
- CreateWorker shall not be liable for indirect, incidental, special, consequential, or punitive damages
- CreateWorker is not liable for outcomes resulting from AI Proposals, approved actions, or automated executions
Nothing in these Terms limits liability that cannot be excluded under applicable law.
13. Indemnification
The Organization agrees to indemnify and hold harmless CreateWorker from any claims, damages, or losses arising from:
- Customer Data
- Use of the Service in violation of these Terms
- Communications sent through the Service
- Configuration, approval, or execution of AI Workers
14. Term and Termination
These Terms remain in effect for as long as the Organization uses the Service.
Either party may terminate for material breach if such breach is not cured within a reasonable period.
Upon termination, access will be disabled and Customer Data will be handled in accordance with the Privacy Policy and DPA.
15. Changes to the Terms
CreateWorker may update these Terms from time to time. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Netherlands, excluding conflict-of-law principles.
All disputes shall be submitted to the exclusive jurisdiction of the competent courts of the Netherlands.
